Starting a business in Nepal requires navigating multiple regulatory bodies including the Office of the Company Registrar (OCR), local Ward offices, and the Inland Revenue Department (IRD).

1. Name Approval at OCR The first step is checking the availability of your proposed corporate name via the OCR online portal (eocr.ocr.gov.np). Ensure the name is distinct and reflects your principal business activity.

2. Drafting MOA and AOA (Prabandhapatra & Niyamawali) Your Memorandum of Association and Articles of Association must detail authorized capital, paid-up capital, shareholder ratios, and primary objectives in accordance with Nepal Companies Act 2063.

3. Filing and Certificate of Incorporation Upon review of notarized citizenship copies, signed MOA/AOA, and shareholder agreements, OCR issues the Certificate of Incorporation.

4. Permanent Account Number (PAN) / VAT Registration Apply at the respective Inland Revenue Office (IRO). If your annual taxable turnover is projected to exceed NPR 50 Lakhs (goods) or NPR 20 Lakhs (services), VAT registration is mandatory.

5. Local Ward & Municipality Permit Register the enterprise at your local Ward office and obtain the business sign-board tax receipt before opening a corporate bank account.
